If these Terms of Use are considered an offer, acceptance is expressly limited to these Terms of Use.

1. General Terms of Use

By agreeing to these Terms of Use, you represent that you are 18 years and older who can form legally binding contracts under applicable law. Individuals under the age of 18 can use our Services only in conjunction with and under the supervision of a Parent. In this case, the Parent is responsible for any and all activities of the Professional.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.

2. Services of meKambio

You may be accessing and using the Website, Service and Software of meKambio as (i) a Professional, (ii) a Parent, (iii) an Expert, (iv) a Company or (v) a visitor simply using the functionality, including that of the News, and/or reviewing the content, that is publicly available on the Website. Throughout these Terms "you" or "your" may refer as applicable to the Professional, the Parent, each Expert and Company accessing or using any of our Services (each the "User").

Our platform allows professionals ("Professionals") and their parents/legal representatives/legal guardians ("Parents") and companies enrolled in meKambio ("Companies") searching for experts ("Experts"), to connect for and deliver and pay for or receive payment for online and one-to-one appointments ("Sessions") or group sessions ("Events") . The "Services" include the Website and any meKambio related mobile device application (the "Software"), our chat rooms, other services and features available through the Software, and meKambio News and its applicable features, including articles writing and commenting (the "News"). meKambio does not provide Experting services, and meKambio does not match Experts with Professionals, Parents or Companies.

3. Payments

We use third party payment services (Stripe) to bill you, as Professionals, through an online account payment in lieu of directly processing your credit/debit card information. Please read more about the privacy security in our Privacy Policy. These payment services are enabling your transfer and receipt of funds as payment for Services provided on the Website. If you make payments via our Website or through any related service, you agree that your activities are subject to our additional payment terms specified in the Refund and Payment Policy.

We also use third party payment services (Stripe) for making the payouts for Experts, and those payment services process such transactions, please check additional payment terms specified in the Refund and Payment Policy.

4. Refunds

meKambio strives to ensure clear understanding of financial relations between Professionals and Experts with respect to the Services we provide. In case you are not satisfied with the Services or any other reason applicable you may be eligible for a refund in accordance with the terms outlined in the Refund and Payment Policy on the Website. To the fullest extent permitted by law, any refunds at any time are at our sole discretion only.

5. General Conditions

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

6. Verification

As part of the Services, we may attempt to verify Experts" ID (passport, driver"s license etc.) and claimed educational credentials (educational background documents, as diplomas, certificates etc.). The Expert might be asked to upload a copy of the Expert"s ID and educational document(s). As an Expert passes a verification a special Badge applies to the Expert"s profile and the uploaded copies of documents get deleted from our servers.

We do not control and are not responsible for any information provided by any Expert with the aim of such verification. Furthermore, we do not endorse or make any representations or warranties regarding the reliability of the verification or Experts themselves.

meKambio cannot confirm that each User is who they claim to be. You agree and understand that you assume all risks when using the Services, including without limitation any and all of the risks associated with any online or offline interactions with other Users.

While we use good faith efforts to confirm that each Expert on our Website is a legitimate Coach or Mentor, we are not able to provide any assurances regarding the trustworthiness of Experts and the information they provide via our Website. When interacting with other Users you should exercise caution and common sense to protect your personal safety and property, just as you would when interacting with other persons whom you don"t know. Neither meKambio nor its affiliates or licensors is responsible for the conduct, whether online or offline, of any User of the Services. meKambio and its affiliates and licensors will not be liable for any claim, injury or damage arising in connection with your use of the Services.

meKambio may or may not utilize third party consumer reporting agencies that perform, among other things, criminal background checks, sex offender registry checks, motor vehicle records checks, credit checks, and identification verifications (“Consumer reports”). meKambio does not endorse or make any representations or warranties regarding the reliability of such consumer reports or the accuracy, timeliness or completeness of any information in the consumer reports. meKambio does not independently verify information in the consumer reports.

You hereby consent to meKambio collecting, using and disclosing the information in the consumer reports. You understand and agree that meKambio may, in its sole discretion, review and rely on the information in the consumer reports in deciding whether to suspend or terminate a User or to investigate a complaint about a User, but that meKambio shall not be responsible or liable in any way in the event that any information in the consumer reports about any person, including without limitation any User, is not accurate, timely or complete. Users who are the subject of consumer reports may contact the service provider to dispute the accuracy, timeliness or completeness of such information. meKambio reserves the right to suspend and/or terminate User based on information in the consumer reports or for any other reason in meKambio’s sole discretion.

7. Licenses

In case you are a Professional, meKambio hereby grants to you, on the Terms set forth herein, a non- transferable, non-sublicensable, non-exclusive, limited right to access and use the Services and the Software solely for your non-commercial, personal use and subject to the policies and restrictions that we post on our Website from time to time.

In case you are an Expert, meKambio hereby grants to you, on the Terms set forth herein, a non- transferable, non-sublicensable, non-exclusive, limited right to access and use the Services and the Software solely for the delivery of your personal services to your clients (i.e. Professionals) and subject to the policies and restrictions that we post on our Website from time to time.

You agree not to view, copy, or procure content or information from the Website and Software by automated means (such as scripts, bots, spiders, crawlers, or scrapers), or to use other data mining technology or processes to frame, mask, extract data or other materials from the Website and Software (except as may be a result of standard search engine or Internet browser usage), unless formally authorized by meKambio under separate written agreement.

No materials from the Services may be copied, reproduced, modified, republished, downloaded, uploaded, posted, transmitted, or distributed in any form or by any means without meKambio’s prior written permission or as expressly provided in these Terms.

Where you purchase a subscription or a license to access the Services, you may not share that subscription or license with others.

meKambio may impose reasonable limits on your scope of access to the Services, including limits on time or number of information accessed or devices used to access such Services, to prevent unauthorized third party access to or use of the Services.

All rights not expressly granted herein are reserved.

8. Accounts

Certain of our Services are reserved for registered users on our Website. To become a registered user you must register on our Website for login credentials to be provided or enabled by meKambio (“Login Credentials”) based on the type of access applicable to your use of the Website (whether Professional or Expert). You agree that you are responsible for protecting your Login Credentials from unauthorized use, and you are responsible for all activity that occurs under those Login Credentials. You agree to notify us immediately if you believe that any of your Login Credentials have been or may be used without your permission so that appropriate action can be taken.

You may access and use the News and its features without a registered user status. This shall not preclude the application of these Terms and other meKambio’s applicable documents to your use of News, in particular when you leave comment(s) on the News.

You may not (i) create more than two accounts (one as an Expert and one as a Professional) to access the Website, (ii) share your Login Credentials with any third party nor (iii) transfer your account to any third party. meKambio is not responsible for any loss or damage caused by, or expense incurred by you as a result of, your failure to safeguard your Login Credentials. You agree that you shall not rent, resell, or remarket the Website, or provide access to the Services to any third party. We are not responsible for losses or damage caused by your failure to safeguard your login and password. meKambio may terminate any Login Credentials in its sole discretion; You will not be entitled to create a new account to access the Website if your prior Login Credentials have been terminated by meKambio.

Upon registering for our Services an account for Professionals may automatically be created for you. Please be advised that provision of your photo is not an obligatory term to use our Services. You may edit your account with additional information at your sole discretion. Additional information may help you to get more from the Services, for instance, finding a necessary Expert. At the same time, you are not required to provide additional information, not specifically necessary for the registration, it is your choice. The security of any personal data you choose to share within your account is subject to our Privacy Policy.

Upon registering for our Services a profile for Experts is automatically created for you. Please be advised that provision of your photo is an obligatory term to use our Services. You may edit your profile with additional information at your sole discretion. Additional information may help you to get more from the Services. At the same time, you are not required to provide additional information, not specifically necessary for the registration. Therefore, it is your choice whether to include additional data to your profile, or not, such as location, language skills, education and work experience. The security of any personal data you choose to share within your account is subject to our Privacy Policy

9. Sessions

Upon creation of an Expert Session different information is requested from you. Please be advised that provision of your photo in the first image to upload in the Session is an obligatory term to use our Services.

You may edit the Session you create with additional information at your sole discretion. Additional information may help you to get more from the Services. At the same time, you are not required to provide additional information, not specifically necessary for the creation of the Session. Therefore, it is your choice whether to include additional data to your Sessions, or not, such as location, language skills, education and work experience. The security of any personal data you choose to share within your account is subject to our Privacy Policy.

Experts grant meKambio the rights to use Expert’s pictures and videos uploaded in their sessions, name and profile picture for marketing, advertising, or promotional purposes. meKambio may publish Experts’ videos and profile pictures to our official channels in third-party social media advertising system, video hosting and streaming services, such as YouTube, Vimeo, Instagram, Facebook or others, as to ensure accessibility and visibility to meKambio users regardless of location.

You may always request to remove any video published to our official channels in third-party social media, video hosting and streaming services by writing to support@meKambio.com.

10. Direct Interactions

meKambio does not take part in direct interactions between Professionals and Experts except when we consider it advisable:

a. to ensure compliance with these Terms;
b. to improve our Services;

meKambio does not have control over transactions between Users except as stated in our Refund and Payment Policy. meKambio does not control Expert Packages provided by Experts, any reviews or ratings provided by Users, nor of the actions or omissions whatsoever of any User.

11. Specific Representations

a. Experts

If you utilize the Services as an Expert, (i) You represent and warrant that for each provided Expert Session or an Expert Package you have the right to provide services contained in such Expert Session or an Expert Package for the purposes of these Terms and that you are capable of fulfilling any offers contained in such Expert Session or an Expert Package; (ii) You warrant that you will keep all your Expert Packages up to date on the Website by notifying meKambio of any changes that would affect the accuracy of such Expert Packages; (iii) You hereby grant to meKambio and its Users, the right to view and distribute your Expert Packages without restriction and you acknowledge that your Expert Packages may be widely disseminated and viewed by large numbers of people; (iv) You acknowledge and agree that meKambio may display advertisements on the Services in connection with your Expert Packages without any payment obligation to you; (v) You agree to use good faith efforts to provide Professionals a professional-quality coaching and/or mentoring experience; (vi) you are legally eligible to provide coaching and/or mentoring in the jurisdiction where you provide coaching and/or mentoring; (vii) you have complied and will comply with all laws and regulations that are applicable to you; and (ix) you operate an independent enterprise with respect to which you have obtained all business licenses and permits necessary to legally provide coaching and/or mentoring services.

b. Professionals

If you utilize the Website as a Professional or Parent, (i) You agree to honor the commitments you make to the Expert via the Website; (ii) You agree that you will not circumvent or manipulate our fee structure, the billing process, or fees owed to meKambio or the Expert; fail to deliver payment for items purchased by you from the Expert; and (iii) You agree to use good faith efforts to interact with Expert online for the Expert Sessions.

12. Relations between meKambio and Users

The Services are not an employment service and meKambio does not serve as an employer of any User unless separately subject to a signed, written employment contract signed by both the User and meKambio. Users may use meKambio Services only for the purpose of to provide coaching and/or mentoring to or receive coaching and/or mentoring from other Users using the Services and subject to these Terms.

As such, meKambio will not be liable for any tax or withholding, including but not limited to unemployment insurance, employer’s liability, workers’ compensation insurance, social security or payroll withholding tax in connection with your use of Services or Users’ services. You understand and agree that if meKambio is found to be liable for any tax or withholding tax in connection with your use of Users’ services, then you will immediately reimburse and pay to meKambio an equivalent amount, including any interest or penalties thereon.

In all cases of use of this Website, Users are acting as independent contractors and not as meKambio’s or any other party’s employee, agent, franchisee or servant. Accordingly, you will be solely responsible for all costs incurred by you or your organization. You shall not hold yourself out as having authority to make contracts or promises on behalf of meKambio. No User is entitled to participate in any meKambio vacation, group medical or life insurance, disability, profit sharing or retirement benefits, or any other fringe benefits or benefit plans offered by meKambio to its employees.

The Services provide connection to Experts who are willing to be engaged by Professionals and Parents or Companies as independent contractors. As independent contractors, each Expert decides when and how often the Expert will be available to provide coaching and/or mentoring to Professionals (except that inactivity for 180 consecutive days may result in deletion of a Experts’ account). Each Expert controls the methods, materials, content and all aspects of the Expert’s session. Any sample coaching and/or mentoring packages or any other materials that may be made available to Experts are for an Expert to review or not review and to use or not use in the Expert’s sole discretion. The Services allow Experts to create subject- specific coaching and/or mentoring packages for certain number of hours that may occur over a number of coaching and/or mentoring sessions (each session individually a “ Expert Session” collectively the “Expert Package”). Professionals are responsible for selecting the right Experts for their needs. Professionals should review and investigate each Expert"s self-reported credentials, education, and experience, as well as reviews from other Parents and/or Professionals. All coaching and/or mentoring sessions should be supervised by a responsible adult. Each Expert has the sole discretion to accept or decline or continue or discontinue a coaching and/or mentoring relationship with any Professional.

Experts may and in fact are expected to perform services for others or do other types of work (either as an independent contractor or employee or other) while these Terms are in effect, including with meKambio’s competitors if desired, provided that such other activities do not require Experts to violate the Terms.

13. meKambio Corporate

Companies or organizations may be enrolled in meKambio Corporate, whose employees, customers or users will use meKambio Service with the aim to connect with Experts for online and one-to-one coaching or mentoring sessions on our online platform.

This aims at amplifying the impact of meKambio in the corporate environment, therefore maximizing the efforts to unlock people’s potential at scale thanks and through the cooperation with third companies.

meKambio Corporate aims at providing meKambio services to third companies or organizations through partnerships, collaborations, or commercial agreements. Third companies or organizations may be enrolled in meKambio through different specific programs and the services provided by meKambio could be used by their employees, customers or users depending on the nature of the agreement between meKambio and the third company.

The agreements between meKambio and the third companies or organizations will be decided between meKambio and the company or companies involved. The agreements could include specific conditions such as specific fares, discounts, accesses, specific terms of use, promotions, etc.

Experts who Enviarin meKambio have the right to decide whether they want to participate in meKambio Corporate or not. Those who decide to participate will have the possibility to offer their services to the companies or organizations meKambio has agreed with.

In those cases where meKambio and the third company agrees on specific fares that are different from the ones Experts have on the platform, the Experts will be asked whether they are willing to participate in the specific program with the company under the agreed conditions or not.

14. meKambio Pro Bono

Non-profit organizations may be enrolled in meKambio Pro Bono, whose affiliates, members, beneficiaries, or users will use meKambio Service with the aim to connect with Experts for online and one-to-one coaching or mentoring sessions on our online platform.

This aims at enabling the social responsibility meKambio and maximizing the efforts to unlock people’s potential at scale thanks and through the cooperation with third organizations to collaborate and offer social support in innovative and quality projects.

meKambio Pro Bono could be run through different specific solidarity actions and programs for a limited or continuous period of time. Each cooperation will be analyzed to tailor our possibilities to the needs of the final users/beneficiaries.

meKambio Pro Bono is a program on a volunteer basis. Experts who Enviarin meKambio have the right to decide whether to volunteer in meKambio Pro-Bono or not. Experts who decide to volunteer in meKambio Pro-Bono will be asked in every program undertaken if they want to participate or not.

Based on the nature of this program, Experts who decide to participate in this program will no charge for their services neither to meKambio, nor to the third organizations involved.

15. Accuracy, Completeness and Timeliness of Information

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.

This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
